Data rooms explained

What a data room is for

A data room is where one side of a transaction lets the other side inspect its records without handing them over. Before cloud software, that meant a physical room in a law firm's office, a sign-in sheet and a supervisor watching bidders read binders. A virtual data room does the same job online: the documents stay under the owner's control, each visitor sees only what they have been cleared to see, and every visit is recorded.

Most rooms are opened for a defined event and closed when it ends. In Singapore the commonest events are the sale of a private company, a startup funding round, an SGX listing, a REIT or property acquisition, a refinancing with a group of banks, a restructuring under the IRDA, and arbitration or litigation where large sets of documents change hands. Some companies also keep a permanent room for board papers, investor reporting or audits.

How a virtual data room works

The owner, usually the seller, the company or its adviser, builds a numbered folder index and uploads the records. Outside parties are invited by email and grouped: one group per bidder, per law firm, per lender. For each group the administrator decides which folders it can open and whether files can only be viewed, printed or downloaded. Pages are stamped with the reader's name as they open.

Visitors read, search and ask questions inside the room. Questions go to the right person on the owner's side, are answered and approved, and the exchange stays attached to the document it concerns. Meanwhile the activity log shows who has been reading what, which helps an adviser judge which bidders are serious. When the deal completes, the room is exported as a permanent record of what was disclosed and then closed.

Why Singapore deal teams use one

Three things push Singapore companies away from email and shared drives. The first is control: competitive sales often include a rival as a bidder, and the seller needs to show some documents to some parties only, and to switch access off quickly. The second is the record: under a share purchase agreement, what was disclosed in the room can limit warranty claims later, so a complete log and archive have real value. The third is compliance: the PDPA requires reasonable security for personal data, and buyers that are banks or MAS-licensed firms expect suppliers to meet their own technology risk standards.

There is also a practical reason. A well-organised room shortens due diligence. Buyers find what they need without a stream of emails, questions are answered once for everyone, and the seller's team spends less of each week chasing files.

What to look for

Start with the tools your deal needs: permissions by file, a Q&A workflow, watermarks, an audit trail and a second login factor. Then check the documents your counterparty will ask for, such as an ISO 27001 certificate or SOC 2 report, where the room is hosted, and how the vendor supports the PDPA terms in your NDA. Finally, price the room in Singapore dollars for the realistic length of the deal, with GST. Our buyer's guide walks through each step, and the use case pages rank rooms for 74 types of Singapore deal.

Three things a data room does that a shared drive cannot.

There are many more, but these decide most Singapore deals.

Compare features

Set permissions that hold.

Give each bidder, lender and adviser exactly the folders they need. Change access in seconds, and stop downloads for anything sensitive.

Sell-side due diligence
A deal team reviewing documents at a table

Let AI read the room with you.

Rooms that list AI features can sort uploads into the index, summarise long agreements and flag clauses such as change of control, so your team answers faster.

Buy-side due diligence

See who read what.

The audit trail records every view and download. It tells you which bidders are serious and is the record you need if a warranty claim comes later.

The basics

What is a virtual data room?

A virtual data room is a secure website where a company shares confidential documents with outside parties during a transaction: buyers in a sale, investors in a round, auditors, lenders or a tribunal. Unlike a shared drive, it is built for people outside your organisation who should see some files and not others.

In Singapore, data rooms are used for private M&A, SGX listings, REIT acquisitions, fundraising, restructurings under the IRDA and arbitrations at SIAC. Each room keeps a record of every view and download, which also helps show PDPA compliance.

Security and compliance

Built for PDPA and MAS-style reviews.

What Singapore buyers, banks and regulators expect a data room to show.

  • PDPA. Limit personal data, mask NRIC numbers and agree return or destruction terms with bidders.
  • Certifications. ISO 27001 or a SOC 2 report answers most vendor questionnaires.
  • Access. Two-factor login for every user; SSO for internal staff where available.
  • Hosting. Ask where the room sits. Only Box lists a Singapore region in our data.

How to choose

Ten questions to ask a vendor

  1. Where is the room hosted, and can you name your sub-processors?
  2. Which certifications do you hold: ISO 27001, SOC 2, or both?
  3. Can we set view, print and download rights per document and change them later?
  4. Is there a built-in Q&A workflow with approvals?
  5. Can we mask NRIC numbers and salaries inside the room?
  6. Do all users need a second login factor?
  7. Can the activity log be exported for our records?
  8. Is the price published, and what happens if the deal runs long?
  9. Do you invoice in SGD, and how is GST handled?
  10. What support hours cover Singapore time?

How a deal runs

Six steps from index to completion

  1. PrepareAgree the index with counsel, clean ACRA records, mask personal data.
  2. Set accessCreate groups for each bidder and adviser, with phase 1 and phase 2 folders.
  3. OpenInvite parties with the process letter after NDAs are signed.
  4. Q&ARoute questions to named answerers and publish common answers to all.
  5. NegotiateDraft the SPA and disclosure letter against the room's contents.
  6. CompletePay 0.2% stamp duty on shares, lodge with ACRA, archive the room.

Common mistakes

Five mistakes Singapore sellers make

01

Opening a half-built room

Bidders judge the business by the first impression of the room.

02

Uploading NRIC numbers

PDPC guidelines restrict NRIC disclosure. Mask them before upload.

03

Answering by email

The disclosure record ends up outside the room and the audit trail.

04

Choosing on headline price

Per-user and per-page plans can cost more over a long deal.

05

Ignoring hosting questions

Banks and MAS-regulated buyers will ask where data sits.

Questions people ask

What is the best virtual data room in Singapore?

It depends on the deal. Our ranking scores all 18 rooms on security and PDPA readiness, deal tools, permissions, ease of use and cost in Singapore dollars, and each use case page re-ranks them for that type of deal. For most transactions, look for file-level permissions, a Q&A workflow, watermarks, an audit trail and two-factor login.

How much does a data room cost in Singapore?

Published plans run from about S$19 a month for simple file sharing to a few hundred dollars a month for full deal rooms, before 9% GST. Quote-based enterprise rooms often cost S$2,300 to S$6,800 a month for a mid-market sale. Use the pricing calculator for your deal.

Does a Singapore data room need to follow the PDPA?

Yes. The PDPA applies to personal data in the room. The business asset transaction exception allows sharing with prospective buyers for evaluating the deal, but data should be limited, protected and returned or destroyed if the deal fails.

Do I need a data room hosted in Singapore?

The PDPA does not require it if overseas transfers get comparable protection. Some banks, MAS-regulated firms and government-linked buyers ask for it under their own policies, so check before choosing.

Is a data room better than Google Drive or SharePoint for due diligence?

For deals, yes. Data rooms add per-document view and download control, watermarks, Q&A, an audit trail built for outside parties and simpler guest access.

Can partners pay to rank higher on this site?

No, partners cannot buy a position. Scores come from our published measures; see how we assess.
